These Terms of Service ("Terms") govern your access to and use of the Sky Suite platform, including all websites, applications, APIs, and services (collectively, the "Service") operated by Sky Suite ("we," "us," or "our"). • Invoicing, quoting, and payment processing
• Weather monitoring, airspace awareness, and flight planning
• Photogrammetry and survey project management
• Marketing automation, blog publishing, and lead generation
• Equipment tracking and maintenance logging
• Marketplace and job referral services

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when practicable. We will make commercially reasonable efforts to notify you of material changes to the Service.

4. Marketplace Participation

Sky Suite may offer a marketplace feature that allows users to list services, receive job referrals, and connect with clients. By participating in the marketplace, you agree to the following:

4.1 Job Forwarding and Referrals

Jobs may be forwarded or referred between users on the platform. Sky Suite acts as a facilitator and is not a party to any agreement between service providers and clients. You are solely responsible for the quality and completion of any work you accept.

4.2 Referral Fees

Referral fees, if applicable, will be clearly disclosed before you accept a referral. Platform referral fees are deducted from the payment at the time of processing. Fee schedules are published in your account dashboard and may be updated with 30 days' notice.

4.3 Dispute Resolution

Disputes between marketplace participants should first be resolved directly between the parties. If a resolution cannot be reached, Sky Suite may, at its discretion, provide mediation assistance. Sky Suite is not liable for disputes between users.

5. Payment Terms

5.1 Subscription Fees

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as required by applicable law or as explicitly stated in these Terms.

5.2 Payment Processing

Payments are processed through third-party payment processors, including Stripe and PayPal. By providing payment information, you authorize us and our payment processors to charge the applicable fees. You agree to abide by the terms of service of the applicable payment processor.

5.3 Platform Transaction Fees

Transactions processed through the platform (such as client invoicing) may be subject to platform processing fees. Current fee schedules are available in your account settings.

5.4 Late Payments and Suspension

If payment fails or your subscription lapses, we may suspend access to paid features. Your data will be retained for a minimum of 90 days following suspension, during which you may reactivate your account.

6. Intellectual Property

6.1 Your Content

You retain full ownership of all data, files, images, deliverables, and other content you upload or create through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to host, store, and process Your Content solely for the purpose of providing the Service to you.

6.2 Our Property

The Service, including its design, code, features, documentation, trademarks, and branding, is owned by Sky Suite and protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service without our prior written consent.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use and incorporate such feedback into the Service without obligation to you.

You agree not to use the Service to:

• Transmit malware, spam, or any harmful or deceptive content.
• Attempt to gain unauthorized access to the Service or its infrastructure.

• Use the Service for any illegal activity, including violations of FAA regulations.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKY SUITE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The Service provides tools such as weather data, airspace information, and flight planning aids. These tools are provided for informational purposes only. You are solely responsible for making safe and lawful flight decisions. Sky Suite is not liable for any damages resulting from reliance on information provided through the Service.

9. Indemnification

You agree to indemnify, defend, and hold harmless Sky Suite and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination. After that period, we may delete your data in accordance with our data retention policies.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you are eligible for small claims court.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
